Cade approves purchase of Gera Maranhão by Eneva

Energy company acquired 50% of BTG shares in the Maranhão company for R$301 million

Cade (Administrative Council for Economic Defense) approved on Tuesday (November 19, 2024) the sale of 50% of shares for R$301 million. The stake in the Maranhão company belonged to the bank. Read Cade’s decision (PDF – 457 kB).

The transaction was signed on Thursday (Nov 14) and depended on approval from the regulatory body to be finalized. Eneva will take over 100% of Gera Maranhão in the coming months, as the company’s other shareholders can sell their shares under the same terms as those sold by BTG, using a mechanism called “tag along”.

Gera Maranhão is a company responsible for the operation of two diesel thermal plants, UTE Geramar I and UTE Geramar II, located in Miranda do Norte (MA). The projects have a total capacity of 332 MW (megawatts).

The deal is part of an operation by Eneva to acquire a thermal park of 6 plants from BTG. The plan was announced in July this year. Read the list of assets below:

  • – controller of UTE Povoação I (75 MW), natural gas, in Linhares (ES);
  • which operates the UTE Luiz Oscar Rodrigues de Melo (240 MW), using natural gas, also in Linhares (ES).
