Cade approves joint venture between Amil and Dasa that should earn R$10 billion per year

The General Superintendence of the Administrative Council for Economic Defense (Cade) approved, this Tuesday, the 24th, the combination of Amil and Dasa assets. With this transaction, 25 hospitals, six oncology clinics and six medical clinics, previously owned by Amil and Dasa, will be controlled by Ímpar Serviços Hospitalares, a joint venture with shared management between the two companies.

O Broadcast (Grupo Estado’s real-time news system) showed the closing of the agreement for the creation of Ímpar Serviços Hospitalares in June. The network will have 4,400 beds and annual revenue of R$10 billion.

In a note, Cade highlighted that Amil and its controlling group operate throughout the country offering medical-hospital health plans and dental plans, also counting on hospitals and medical centers, in addition to an accredited network of doctors, hospitals, clinics and laboratories. Dasa, in turn, operates in the diagnostic support service (SAD) market in its laboratories, as well as in general hospitals, medical clinics and dental clinics.

The operation authorized by Cade implies horizontal overlap, that is, joint action by the two companies, in the markets of general hospitals, medical centers, hemodynamics and SAD in the municipalities of Rio de Janeiro, São Paulo and Brasília. An overlap in outpatient oncology services was also identified in these cities and in Niterói (RJ).

The analysis conducted by SG/Cade indicates that there are sufficient elements of entry and rivalry to rule out the likelihood of companies exercising market power in all relevant markets.

In the case of verticalization, the operation will feature vertical integration between various activities performed by the joint venture, including diagnostic support services (SAD), general hospitals, medical centers, hemodynamics and outpatient oncology (chemotherapy), with health plan services offered by Amil.

There will also be vertical integration between the support services for third parties provided by Dasa and the SAD services provided by Amil, in addition to the distribution of medicines and medical-hospital materials, including vaccines, carried out by Dasa, and the health plan services offered by Amil. Cade’s assessment is that this operation would not entail the risk of market closure.
