Filipe Silva would have confirmed to the Ethics Committee his relationship with a subordinate who reported directly to him. Departure takes effect immediately and new CEO will be announced “in a few days”.
The executive president and vice-president of the Board of Directors of Galp, Filipe Silvaresigned for family reasons, the oil company said this Tuesday.
The dismissal comes days after an internal employee made an anonymous complaint about the CEO’s romantic relationship with a senior director of the company, which could constitute a conflict of interest.
Having been in office for two years, Filipe Silva would have confirmed to the Ethics Committee his connection with a subordinate who reported directly to himadvances , after an urgent meeting that took place on Monday.
Galp’s Code of Conduct explains that “a conflict of interest arises when our personal interests, whether financial, professional, family, political or other, or the interests of someone with whom we have a close relationship, influence or can be perceived as influencing the objective exercise of our professional duties and responsibilities”.
In the oil company’s Code of Conduct there is no explicit reference to situations of close and personal relationships, nor whether these should be communicated.
Experts in labor law also ruled out the existence of grounds for dismissal for just cause, stating that there is no legal basis for dismissal based solely on the existence of a romantic relationship between employees.
A possible dismissal, in this case, “smacks of character assassination operation destined to run with a person and pave the way for anyone interested in the position”, believes lawyer Antônio Garcia Pereira, who highlights that workers maintain the right to private life.
In a statement sent to the Securities Market Commission (CMVM), the company informs that the resignation has immediate effects and in the coming days will announce the new executive leadership.
“I would like to highlight the contribution that Filipe made to the Company over the last 12 years, a period in which his dedication was important for Galp’s growth. Galp’s Executive Committee continues to be in the hands of a highly qualified team, which will guarantee the execution and implementation of the company’s strategy,” highlighted Paula Amorim, Chairman of Galp’s Board of Directors.
Paula Amorim, daughter of businessman Américo Amorim, he excused himself early on to confirm whether the CEO had “communicated any close and personal relationship with a director, or whether this relationship had called into question the integrity of the decisions of the executive committee”.
Filipe Silva is now expected to take on roles at the company founded by his father, Trivalor, according to Negócios.
