Itaú Unibanco () filed a liability action against former bank director Alexsandro Broedel and accounting teacher Eliseu Martins, and asks for the return of R $ 3.350 million that the former executive would have received improperly. The action will be December last year.

Itaú states that Broedel improperly received amounts paid by the bank to Martins for consulting services provided over five years, between 2019 and 2024. These services were personally approved by the executive, according to the conglomerate, which would configure conflict of interest: Broedel and Martins are partners in a company since 2012, a relationship that has not been declared by the former director to the bank during the period in which he played the role.

In the action, the defense of Itaú says that Broedel received about 40% of the amounts that the bank paid for these services, through transfers made from the company hired by the conglomerate to others, managed by the children of Martins, who then sent to Broedel Consultants , company in which Broedel and Martins are partners.

This structure, according to the lawyers, makes it clear that the acts were deliberated. They claim that the bank asked involved explanations of the nature of transfers, but that “the legitimacy and legality of defendants’ conduct have never been demonstrated.”

The action also reports that Broedel’s acts were discovered after reviews of internal controls, made after the executive left the bank in mid -last year. Broedel left Itaú after accepting a position in the board of the Santander Group in Spain, which he has not yet assumed due to the transition period. Itaú interrupted the former director’s “Garden Leave” after the discoveries.

In addition to working with Broedel, Martins made recurring loans of funds to the former director, according to the defense of Itaú, a factor that would reinforce the alleged conflict of interest and the breach of bank standards.

In the lawsuit, the lawyers claim that the bank found that the former executive had a financial situation incompatible with his position. This information is based on surveys made with credit protection services, as well as public legal basis.

They list actions of two banks, Bradesco and Safra, who went to court to charge Broedel’s debts. In the first case, according to them, he admitted not to be able to pay the cash amount. In both, he closed agreements to pay off the debts in installments. In addition, the São Paulo City Hall also filed a lawsuit against Broedel Consultores, of a fiscal nature.

The processes of the two banks were filed in 2022. The City Hall’s process against Broedel Consultores was filed in 2023, with suspension that same year after a request for installment by the company, and resumed last year in the face of non-payment of installments last year .
