Shareholders approve more seats in the board of Eletrobras

To accommodate the government, a company raised from 9 to 10 the number of chairs in its Decision Command

AGU (Extraordinary General Assembly) approved on Wednesday (26.FEV.2025) the increase in the number of seats in the company’s board of directors. The Decision Committee of the former state -owned company housed 9 chairs and will move to 10. Here is the minutes of the Assembly (PDF – 309 KB).

The decision to house more executives on the board is a nod for the well -referred agreement with the government, which will be able to get 3 nominations for the committee. Since the privatization of the company in 2022, the Union is entitled only to 1 of 9 seats.

With the beginning of the 3rd term of the president (PT) in 2023, the Union entered a dispute with Eletrobras to increase its participation in the board of directors. The Planalto argument is that the government was underrected on the committee. The Union still has about 40% of the company’s shares.

The parties entered a judicial imbroglio that it seems to be close to the end. Last week, Lula met with 5 ministers to deal with the molds of the agreement that will guarantee a greater government participation in the company. The meeting was marked by one between Finance Minister Fernando Haddad and Minister of Mines and Energy, Alexandre Silveira, for a conclusion of the agreement. Before, the ministries did not agree with each other.

The case involves the constitutionality of part of the rule that authorized the privatization of Eletrobras, approved by the National Congress and sanctioned by the then president (PL).

Last year, (General Advocacy of the Union) filed a lawsuit in the Supreme Court requesting the overthrow of the excerpt from the law that restricts to 10% of the actions the vote of any shareholder in the board of directors of Eletrobras.

AGU claims that the rule is unconstitutional and contradictory, as it discourages its own private investment in Eletrobras. For the agency, the standard was exclusive to the Union, which would currently be the only shareholder with more than 10% of the company.

The rapporteur of the case is Minister Kassio Nunes Marques, who has already granted several extensions of the original period of negotiation at the request of the parties.
