Natura & Co () and Natura Cosmetics SA announced this Thursday (20) the proposal to incorporate Natura & Co Holding SA by its Integral Subsidiary, Natura Cosmetics SA
According to the company, the measure aims to prepare the company’s governance for a new phase, with greater focus on Latin America and Natura brand growth, as well as continuing the simplification strategy started in 2022.
The proposal will be submitted to the deliberation of shareholders at the Annual Ordinary General Assembly, scheduled for March 25, 2025, scheduled for April 25, 2025.
“The incorporation promises to better align governance with the priorities of the business, resulting in a more efficient and potentially unlocking structure for shareholders, especially by enabling future distribution of profits from Natura Cosmetics SA,” the company said.
According to the company, the incorporation will not affect the strategies of business units, maintaining the brands integration plan in Latin America, with a planned conclusion in 2025.
CVM approval will be required for the conversion of Natura Cosmetics SA to a category “A” broadcaster and its listing in the new B3 market. Shareholders will not be entitled to withdrawal due to incorporation, according to the liquidity and dispersion criteria required by law.

Organizational changes
In addition, organizational changes arising from the incorporation have been announced. Fábio Barbosa, current CEO and member of the Board of Directors, will be appointed Chairman of the Board of Directors (Chairman) of Natura Cosmetics SA, while João Paulo Ferreira will continue as CEO and will take a seat in the new council.
Silvia Vilas Boas will remain as a CFO and will also assume the role of Investor Relations Director from April 25. Guilherme Castellan, current CFO and Dri, will leave Natura for new professional challenges, assisting in the transition until May 12, 2025.
Natura Cosmetics SA’s Board of Directors will be attended by founders Luiz Seabra, Guilherme Leal and Pedro Passos, as well as Fábio Barbosa, Bruno Rocha, Duda Kertesz, Gilberto Mifano and the new independent counselor Alessandro Carlucci. Carla Schmitzberger will leave the advice after the incorporation.
