OAB/AC expresses concern about changing companies by the IRS

The Brazilian Bar Association-Sectional Acre (OAB/AC) issued a public note on Thursday (11) expressing concern with Note COCAD/RFB No. 181/2025, published by the IRS, which changes the flow of opening and registration of companies in Brazil.

The new guideline determines that the registration in the National Register of Legal Entities (CNPJ) will be carried out at a later stage and separated from the corporate registration in the commercial boards. For the OAB/AC, this change represents “the restoration of a bureaucracy already surpassed” and goes against the principles of simplification and integration of the national network for the simplification of registration and legalization of companies and businesses (Redeim).

The institution also questions the legality of the measure, as it contradicts decisions of the Committee Management of Redesim (CGSIM), the body responsible for standardizing the processes of registration and legalization of legal entities and entrepreneurs.

In addition, the OAB/AC reaffirms its commitment to bureaucracy, respect for legal order and the strengthening of cooperative federalism, while expressing solidarity with the National Movement in defense of the current model, led by entities such as the Board of Trade of Acre and the National Federation of Commercial Boards.

OAB/AC expresses its institutional concern with COCAD/RFB Note No. 181/2025, which seeks to impose, unilaterally, changes to the flow of opening and registration of legal entities in the country.

The note issued by the IRS determines that the registration in the National Register of Legal Entities (CNPJ) will be carried out in a later stage and detached from the act of corporate registration in the Commercial Board, restoring bureaucracy already overcome, and violating the principles of simplification and integration governing Redesim.

In addition, there are serious questions regarding the legality of the note, as it meets deliberations previously made under the Committee Management of Redesim (CGSIM), a collegiate body in which representatives of all federative entities agreed to Redesim, and who hold the competence to register and legalization processes and legal entities of any size.

The OAB/AC extends its solidarity to the National Movement in Defense of the current model of Redesim, led by representatives of the business sector, notably the Commercial Board of the State of Acre and the National Federation of Commercial Juntas, as it reinforces its commitment to the bureaucracy, the prohibition of retrogression, and the defense of legal order and cooperative federalism.
