Carlos Teixeira e Eduardo Salussecreators of SAFIEL, explained how the project that aims to transform Corinthians into a football corporation controlled by fans would work.
During an interview with the program CNN Esportes S/A This Sunday (12), the guests detailed the plan and told how it would be possible to put Fiel in charge of Timão.
The new company would have two partners: o and a company formed by fans who purchased SAFiel shares.
Corinthians would be a new society. This company would have two partners. One partner: Corinthians, which will deliver, contribute and contribute to society with its assets, from football, and its liabilities, through net equity. And, on the other hand, another company that is formed by shareholders who are part of the Corinthians fans. (…) Every fan who wants to invest will be able to invest.
According to Carlos Teixeira, the proposed model seeks to “spread control among hundreds of thousands of Corinthians fans” and “establish governance compatible with large publicly traded companies”.
Participation and inspiration
The participation of each party will be defined after evaluating the assets and invested capital.
“The SAF law itself establishes that clubs that have 10% can have veto power on a series of issues”, explained Eduardo.
According to Salusse, political control does not depend solely on the majority shareholding.
“The issue of control is not necessarily related to corporate participation. Control can be defined in a partners’ agreement that will define the political powers of each one, the majority and even the veto”, he said.
As inspiration, the creators cited Bayern Munich, the team that is currently leading the Bundesliga.
SAFiel, in a few words, consists of transforming all football properties that are currently part of the associative club into a new, highly professionalized corporation, with process and governance standards compatible with the largest national companies and major football clubs, for example, Bayern Munich, which is a great inspiration for us.
Types of shares
Carlos Teixeira detailed that SAFIEL will issue two types of shares: one with voting rights and the other preferential, without voting.
“This second CNPJ that becomes a partner together with the association will issue two types of shares. A share with voting rights, which will be able to be purchased by Corinthians fans, and another class of share, which is the preferred share, which, like Bayern, companies and investment funds will be invited to invest, but will not have voting power”, he reported.
To participate, you will need to be a member of the Fiel Torcedor program.
“This type of share that is sold to the Corinthians sector, for any Corinthians fan to buy this share, they will need to be a fan. They will need to be part of the Corinthians Fiel Torcedor program. So, they sign up for a plan, and from there they acquire shares. If they are in compliance with their plan, they will also be able to vote in the assemblies”, explained Teixeira.
Vote limit and fundraising target
The project provides for a maximum number of votes per investor and a fundraising target.
“Our project provides for a maximum voting limit. No shareholder may have more than 1.8% of the shares with voting rights”, said Carlos.
The maximum fundraising target is above R$2 billion.
The creators emphasized that they do not intend to become owners of the club.
“It’s a project carried out by Corinthians fans with no political or financial interest in the project. (…) Everything we’re doing is a donation to the Corinthians community,” said Teixeira.
