Competition validates the purchase of companies that control the A22, A27 and A28 motorways

The Competition Authority (AdC) adopted a decision not to oppose the acquisition of two companies that control national motorway concessions by the asset manager First Sentier Group, owned by the Japanese Mitsubishi UFJ Financial Group.

In a note published on its website this Thursday, it said that it had decided to “adopt a decision not to oppose the concentration” in question, considering that “it is not likely to create significant obstacles to effective competition in the national market or in a substantial part of it”.

At issue is the acquisition by IIP Amaxi of exclusive control over DIF Participations 4 Luxembourg S.à.rl (DIF 4) and Fados II (Fados II).

IIP Amaxi is “an investment company indirectly controlled by the First Sentier Group (FSG), a global investment group”, indicated the AdC.

In Portugal, FSG has “exclusive control of the Finerge Group, active in the energy sector, of Magestop, responsible for the operation and maintenance of two biomass plants, and of Novae Investments, SA, a holding company whose sole asset is AEDL – Autoestradas do Douro Litoral, SA, which operates the Douro Litoral Concession, integrating three motorways (A41, A32 and A43)”

The acquired companies, DIF 4 and Fados II, control “Auto-Estradas Norte Litoral – Sociedade Concessionária – AENL, SA, which manages the Concessão do Norte Litoral, made up of two motorways (A27 and A28), and Autoestradas do Algarve – Via do Infante – Sociedade Concessionária – AAVI, SA, which manages the Concessão do Algarve, made up of a motorway (A22), as well as Algarve International BV, AAVI’s financing vehicle”.
