Mobly rejects Tok & Stok founders proposal and says value is ‘unfeasible’

Amid the Dubrule family intention, founder of Tok & Stok, to formulate a public offering of stock acquisitions (OPA) by the company, Mobly () reported last Tuesday that the plan presented seems to be “unfeasible”.

The price per share for the potential OPA reflects a significant 51% discount on the close -up price of last Friday of R $ 1.39 and 53% over the weighted average negotiation price of the last 30 trading stocks of R $ 1.44.

In addition, the value represents an 82% discount on the equity value per share
On September 30, 2024 of R $ 3.87 or 83% over the equity value per share on June 30, 2024 of R $ 4.08.

In a statement, Mobly stressed that so far, shareholders who jointly represent 40.6% of the company’s capital stock, have already indicated the management that they have no interest in disposing of their actions under the proposal, if it becomes a binding and irrevocable offer, as well as its intention to vote contrary to the exclusion of the statutory OPA in the context of the proposal.

Thus, according to Mobly, it would not be possible for the Dubrule family to acquire the minimum participation of 85 million common issuance shares of the company (corresponding to 69.2% of the total capital) indicated in the proposal, even if the OPA was being launched, so that the proposal seems to be unfeasible plan.

Additionally, the company said it is still focused on implementing business strategy and capturing synergies arising from the acquisition of Tok & Stok control.

Finally, Mobly states that the terms and conditions presented by the Dubrule family are not exhaustive, nor binding, and may be changed if and if they may publish the OPA notice.
