Motiva buys Autopista Fernão Dias dealership from Arteris for R$381.4 million

Motiva Infraestrutura de Mobilidade signed a contract with Arteris to acquire all shares in Autopista Fernão Dias, concessionaire of BR-381 in Minas Gerais and São Paulo. The value of the transaction is R$ 381,375,069.26, which will be paid in cash, the company informed in a relevant fact, published this Thursday, 2.

In addition to the principal amount, the agreement provides for a “possible price adjustment” of R$19,587,000.00, the enforceability of which is under analysis due to a precautionary measure from the Federal Audit Court (TCU).

The purchase takes place within the scope of Competitive Process 04/2025, conducted by the National Land Transport Agency (ANTT).

Motiva stated that the transaction “represents the acquisition of a premium asset in line with the company’s strategic planning” and that the highway is in “a relevant economic corridor”, with “industrial, agricultural and logistics” hubs.

With the conclusion of the deal and the signing of an amendment to modernize the concession contract, Motiva will begin to operate “in a new geographic region, Minas Gerais”, expanding the scale of its highway platform.

“This is the largest federal highway in terms of volume of equivalent toll axles in 2025, with widely known demand and low complexity investments”, adds Motiva in the document.
