Raízen shareholders () approved the incorporation of the spun-off assets of Bioenergia Barra (Biobarra) and the total incorporation of the companies Bioenergia Rafard, Bioenergia Serra and Bioenergia Araraquara. The decision was taken at an Extraordinary General Meeting held this Thursday, January 1, 2026.
The incorporation of the spun-off portion of Biobarra was valued at R$112.4 million and will not result in a change in the share capital of Raízen Energia, and Biobarra will continue to exist as a legal entity.
According to the deliberations, in the merger of Bioenergia Rafard, Bioenergia Serra and Bioenergia Araraquara, the companies will be extinguished and Raízen Energia will succeed them in all rights, assets and obligations in full.

The incorporated book values are approximately R$90.2 million from Bioenergia Rafard, R$14 million from Bioenergia Serra and R$8.1 million from Bioenergia Araraquara. All assessments were carried out by PGS Auditores Independentes.
